Last updated: [Insert date]
These Terms of Service ("Terms") govern your use of the The Social Manthan website and the services offered through it. By using this website or engaging our services, you agree to these Terms.
1. Business Identity
- Business name: [Insert registered business name]
- Address: [Insert current business address]
- Contact: hello@thesocialmanthan.com | [Verified phone]
2. Enquiries, Quotes and Orders
Submitting an enquiry form or campaign brief is a request for discussion, not a confirmed booking. A service, campaign or media booking becomes binding only when:
- We have issued a written proposal or quote specifying scope, deliverables, pricing and terms
- You have approved the proposal in writing
- Any required advance payment has been received
- Where applicable, the supplier or media owner has confirmed availability in writing
3. Scope of Services
Scope is defined per project, package or proposal. Deliverables, revision rounds, timelines, approval responsibilities and reporting are stated in the proposal. Work outside the agreed scope requires a separate quote.
4. Customer Responsibilities
- Providing accurate, complete briefs and required assets in a timely manner
- Providing account access where required (e.g. social platforms, ad accounts)
- Reviewing and approving deliverables within agreed timelines
- Ensuring any content, brand assets or data you supply is legally owned or licensed
- Meeting payment obligations as per the agreed terms
5. Pricing, Taxes and Payment Terms
Prices are as stated in the applicable proposal or invoice. Unless otherwise specified:
- Prices are exclusive of applicable taxes (GST and others as applicable)
- Third-party costs (ad spend, hosting, domain fees, printing, premium tools, stock assets, media costs) are separate unless explicitly included
- Invoices are payable within the timeline stated on the invoice
- Quotes are valid for the period stated in the proposal
6. Media and Supplier Availability
Media rates and availability are subject to change until confirmed in writing by the supplier or media owner. We are not responsible for unavailability of specific placements, editions, screens, or time slots. Substitutions may be proposed where a preferred option is unavailable.
7. Cancellations, Make-Goods and Refunds
Cancellation rights and costs differ between digital services, custom creative work and third-party media bookings. See our Cancellation & Refund Policy for details. Where media inventory becomes unavailable, we may propose substitutions or make-goods in line with the supplier's terms.
8. Intellectual Property and Usage Rights
- Deliverables produced for you (design, video, content, websites) are licensed to you upon full payment, per the usage rights stated in the proposal
- Third-party assets (stock photos, music, fonts) remain subject to their original licenses
- You are responsible for the legality of any materials you supply
- We retain the right to reference completed work in our portfolio, unless you request otherwise in writing
9. No Guarantee of Results
Outcomes such as reach, engagement, traffic, leads or sales depend on multiple factors outside our control, including your offer, audience, competition, market conditions, budget and execution. No specific result is guaranteed unless a supportable commitment is expressly stated in the written agreement.
10. Limits of Liability
To the maximum extent permitted by applicable law, our total liability arising from or related to a service engagement is limited to the fees paid by you for that specific service. We are not liable for indirect, incidental, consequential or punitive damages, including lost profits or business interruption.
11. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement, except where disclosure is required by law or where information is already public.
12. Termination
Either party may terminate an ongoing service engagement as per the notice period stated in the applicable proposal. Termination does not relieve you of payment obligations for work already completed or for committed third-party costs.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes arising from these Terms or the use of our services are subject to the exclusive jurisdiction of the courts of [insert city, e.g. Hyderabad, Telangana].
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page. Continued use of our services after changes constitutes acceptance.
